Requirements for Separate Share Classes

With respect to securities registered by coordination under Section 8-1106 of the Securities Act of Nebraska, the Nebraska Department of Banking and Finance (“the Department”) will receipt each share class under a separate and distinct state file number, applying the requisite fee to each filing accordingly. Therefore, each share class to be offered must be registered using a unique Form U-1 (“U-1”). Any U-1 covering multiple share classes will not be accepted, even if the Issuer submits one copy of that form for each share class. Instead, the Department will require the Issuer to prepare a separate and distinct U-1 for each share class to be registered. Issuers may not reallocate fees between share classes of an offering after the initial filing is received and receipted. This policy will be applied to all new registrations and all future applications to renew previously registered offerings.
