Notice is hereby given that Henderson State Bank, Henderson, Nebraska, in accordance with the provisions of Neb. Rev. Stat. § 8-157 of the Nebraska Banking Act, filed an application with the Nebraska Department of Banking and Finance for approval to establish a branch facility to be located at 3333 North 168th Court, Omaha, Nebraska.

Notice is hereby given that First Beemer Corporation, 201 Main Street, Beemer, Nebraska, a corporation, as parent of Beemer Merger Sub, Inc., a phantom corporation, has filed an application with the Nebraska Department of Banking and Finance (“Department”) to acquire control of First Bank of Bancroft, 301 Main Street, Bancroft, Nebraska.  The purpose of the transaction is to effect a change of control of First Bank of Bancroft, Bancroft, Nebraska, by acquiring 100 percent of its issued and outstanding shares of stock.  

Beemer Merger Sub, Inc. has filed an application with the Department for an interim bank charter.  If approved, Beemer Merger Sub, Inc. will merge with and into First Bank of Bancroft through a reverse subsidiary merger transaction. Immediately following, and on the same date as the initial merger, First Bank of Bancroft, Bancroft, Nebraska, will merge with and into Community First Bank, Beemer, Nebraska, 201 Main Street, Beemer, Nebraska. Community First Bank will be the ultimate survivor of the merger and intends to operate a branch at the former main office of First Bank of Bancroft. The interim charter of Beemer Merger Sub, Inc. will be cancelled when the merger is complete.

The Director of the Department has waived a hearing on the application for an interim bank charter pursuant to Neb. Rev. Stat. § 8-115.01(3) as the Director has determined that the surviving institution to this transaction, First Community Bank, Beemer, Nebraska, and its directors, officers, and shareholders, meet the requirements of the statute.  

Written comments or formal objections to the application or to any portion of the proposed transactions must be submitted in writing to the Department of Banking and Finance, 1526 K Street, Suite 300, P.O. Box, 95006, Lincoln, Nebraska, 68509.  Such comments must be received by the Department by December 6, 2025.
